Augmentation du capital de la société SOCIETE FINANCIERE BIHANNIC, absorbante la société SOCIETE FINANCIERE BIHANNIC, société absorbante, détenant l’intégralité du capital de la société ATHENA, et s'étant engagée à conserver cette détention en permanence jusqu'à la réalisation définitive de la fusion, il ne sera procédé à aucun échange de titres sociaux et, en conséquence, à aucune augmentation de capital de la société absorbante. 3. Réalisation La fusion prendrait effet rétroactivement au 1er septembre 2025, d'un point de vue comptable et fiscal. La société ATHENA sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion. La fusion sera réalisée à la date de décision des associés de la société absorbante constatant la réalisation des conditions suspensives prévues au traité. 4. Dépôt du projet de fusion Le projet de fusion établi le 28 février 2026 a été déposé le 1er avril 2026 au nom des deux sociétés au greffe du tribunal de commerce de Brest. Les créanciers de la société absorbante, ainsi que ceux de la société absorbée dont les créances sont antérieures au présent avis, pourront faire opposition à la présente fusion dans les conditions prévues aux articles L. 236-14 et R. 236-8 du Code de commerce, soit trente jours à compter de la présente publication, devant le tribunal de commerce de Brest.
