En rémunération de cet apport net, 11 210 actions nouvelles de 25 euros de valeur nominale chacune, entièrement libérées seraient créées par la Société PRIMVERT à titre d'augmentation de son capital social de 280 250 euros. La prime de fusion s'élèverait à 6 743 568,30 euros. Le rapport d'échange des droits sociaux retenu serait fixé à 22,42 actions nouvelles de la Société absorbante, la société PRIMVERT pour 1 part sociale de la Société absorbée, la société VEGETAL TECHNOLOGIE PRODUCTION. La fusion deviendra opposable trente (30) jours après la publication au BODACC de l'avis visé à l'article R. 236-2 du Code de commerce et définitive au jour de l'approbation du projet de fusion par les assemblées générales des deux sociétés appelées à statuer sur l'opération. La fusion prendrait effet rétroactivement au 1er juillet 2025 d'un point de vue comptable et fiscal. La société VEGETAL TECHNOLOGIE PRODUCTION sera dissoute de plein droit, sans liquidation, au jour de la réalisation définitive de la fusion. Les créanciers des sociétés PRIMVERT et VEGETAL TECHNOLOGIE PRODUCTION, dont la créance est antérieure au présent avis, pourront faire opposition à la fusion dans les conditions et délais prévus par les articles L. 236-6, L. 236-15 et R. 236-11 du Code de commerce.
