La société ODYSSEE INGENIERIE ferait apport à la société EFALIA, de la totalité de son actif évalué à 1.054.787,29 € contre la prise en charge de l'intégralité de son passif s'élevant à 421.205,86 € soit un apport net de 633.581,43 €. La société SMARTFLOWS (820 201 481 RCS LYON) étant propriétaire de la totalité des actions composant le capital des sociétés EFALIA et ODYSSEE INGENIERIE, il ne serait pas procédé à l'échange d'actions d'ODYSSEE INGENIERIE contre des actions d'EFALIA en sorte que cette fusion absorption serait réalisée sans augmentation de capital. Les créanciers des sociétés parties à cette opération, dont la créance est antérieure au présent avis, peuvent former opposition à cette fusion dans les conditions et délais prévus par les articles L.236-15 et R.236-11 du Code de commerce.
