La partie de l'actif apportée a été évaluée à 5 883 593,15 € et la partie de passif apportée à 3 365 374,50 €, soit un apport net de 2 518 218,65 €. Ces valeurs ont été arrêtées, pour leur valeur nette comptable, sur la base de situations comptables en date du 30 juin 2025. En rémunération de cet apport, la société R SHOPS CENTER augmenterait son capital de 2 518 218 € par la création de 2 518 218 actions d'une valeur nominale de 1 €, attribuées en totalité à la société RAVATE DISTRIBUTION. La différence entre le montant de l'actif net apporté et le montant de l'augmentation de capital, soit 0,65 €, constituera une prime d'apport qui sera inscrite au passif du bilan de R SHOPS CENTER et sur laquelle porteront les droits de tous les associés. R SHOPS CENTER sera propriétaire et prendra possession des biens et droits à elle apportés, à titre d'apport partiel d'actif, à compter du jour de la réalisation définitive de l'opération après réalisation des conditions suspensives figurant dans le traité d'apport. A la date de réalisation de l'apport partiel d'actif, la société bénéficiaire sera subrogée purement et simplement d'une façon générale dans tous les droits, actions, obligations et engagements divers se rapportant aux biens apportés au lieu et place de la société apporteuse. Il a été convenu que le passif transmis par la société apporteuse sera supporté par la société bénéficiaire seule, sans solidarité de la société apporteuse. Les créanciers des sociétés concernées par l'opération et dont la créance est antérieure au présent avis pourront former opposition dans les conditions et délais légaux au greffe du tribunal de commerce de SAINT DENIS DE LA REUNION, étant précisé que cette opposition n'aura pas pour effet d'interdire la poursuite de l'opération d'apport. Conformément aux dispositions légales, le projet d'apport partiel d'actif a été déposé au greffe du tribunal de commerce de SAINT DENIS DE LA REUNION au nom de RAVATE DISTRIBUTION et de R SHOPS CENTER, le 18 mai 2026.
