Aux termes d'un projet de traité de fusion signé électroniquement le 21 mai 2026 déposé au nom de la société PROTEOR au greffe du Tribunal de Commerce de Dijon le 21 mai 2026 et au nom de la société ORTHOPEDIE DEVELOPPEMENT au greffe du Tribunal de Commerce de Dunkerque le 22 mai 2026, il résulte que la société PROTEOR se propose d'absorber, à titre de fusion, la société ORTHOPEDIE DEVELOPPEMENT, au moyen de l'apport, par cette dernière, de la totalité des éléments constituant son actif évalués à 2 719 592 € contre la prise en charge de son passif évalué à 2 295 502 €, tels qu'ils ressortent des comptes de l'exercice clos le 31 décembre 2025 de la société ORTHOPEDIE DEVELOPPEMENT, soit un actif net apporté de 424 090 €. La société PROTEOR étant propriétaire de la totalité du capital de la société ORTHOPEDIE DEVELOPPEMENT depuis une date antérieure à celle du dépôt du projet de traité de fusion au greffe du Tribunal de Commerce, il ne sera pas procédé à l'échange de titres de la société PROTEOR contre des titres de la société ORTHOPEDIE DEVELOPPEMENT en sorte que la société PROTEOR ne procédera à aucune augmentation de capital à raison de cette absorption. Les créanciers des sociétés parties à l'opération dont la créance est antérieure au présent avis, pourront former opposition dans les conditions et délais prévus à l'article R236-8 du Code de Commerce et notamment dans le délai de 30 jours à compter de la publication du présent avis.
