Aux termes de ce projet, la société BOST ferait apport à la société LLH de sa branche d’activité autonome relative à l’exploitation de magasins sous l’enseigne « ADJ » ainsi que sous la marque « adjparis », la commercialisation des vêtements portant la Marque par le biais de ventes B to C, notamment via un réseau de magasins exploités sous l’enseigne de la Marque, dont l'actif est évalué à 1 105 224 € et le passif à 360 424 €, soit un apport net de 744 800 €. En rémunération de cet apport, soumis au régime juridique des scissions, la société LLH augmenterait son capital de 744 800 € pour le porter de 2.000 € à 746.800 €, par l'émission de 744 800 nouvelles de 1 € de valeur nominale chacune, entièrement libérées, à attribuer à la société BOST. Aucune prime d'apport ne serait émise. Toute solidarité entre la société BOST et la société LLH est écartée concernant le passif transféré au titre de la branche d’activité apportée, conformément aux dispositions de l’article L.236-21 du code du Commerce. L’apport partiel d’actif prendrait effet, d’un point de vue comptable et fiscal, à compter du 31/01/2026. Ledit projet a été établi sous conditions suspensives et notamment celles de son approbation par l’AGE de la société BOST, de son approbation par l’AGE de la société LLH, et de la réalisation définitive de l'augmentation de capital de cette dernière société, et ce avant le 31/07/2026. Le projet d'apport a été déposé, pour chacune des sociétés, au Greffe du Tribunal de Commerce du SAINT ETIENNE le 26/05/2026.
