L’évaluation des biens transmis s’établit à : Actif : 812 984 € Passif : 1 438 993 € Soit un actif net apporté de – 626 009 € La société FORESTA tenant la totalité des parts sociales de la société FORESTA NOVA, il n’y a pas lieu à augmentation de capital. De même les apports effectués par la société absorbée n’étant pas rémunérés par l’attribution d’actions émises par la société absorbante, il n’a pas été établi de rapport d’échange. Toutes les opérations effectuées par la société absorbée depuis le 1er juillet 2025 jusqu’à la date de réalisation définitive de la fusion seront prises en charge par la société absorbante. La société FORESTA NOVA sera dissoute de plein droit sans liquidation au jour de la réalisation définitive de la fusion. La fusion sera réalisée le 30 juin 2026 à 23 heures 59. Le projet de fusion a été déposé au greffe du Tribunal de Commerce de NEVERS le 26 mai 2026 pour la société FORESTA et au Greffe du Tribunal de Commerce de CUSSET le 19 mai 2026 pour la société FORESTA NOVA. Les créanciers des sociétés participant à l’opération de fusion dont la créance est antérieure à la date de parution du présent avis au BODACC peuvent former opposition à cette fusion dans un délai de trente jours à compter de la parution du présent avis.
