Compte tenu des critères d'évaluation retenus, le rapport d'échange des droits sociaux a été fixé à : 2 134 778 actions de la Société UNICIL Pour 54 337 actions de la Société PROLETAZUR Le rapport d'échange a été déterminé conformément aux dispositions de l'article L.411-2-1 du Code de la construction et de l'habitation dont le I alinéa 4 dispose : « La rémunération des actionnaires de la Société Absorbée ou scindée est fixée sur la base du rapport d'échange entre les actions de cette société et celles de la société bénéficiaire, établi à la date d'effet du transfert, en fonction des capitaux propres non réévalués respectifs des deux sociétés. » Il pourrait donc être créé 2 134 778 actions nouvelles de la Société UNICIL qui seraient attribuées aux actionnaires de la Société PROLETAZUR en rémunération des apports effectués par ladite société. Ainsi, la fusion donnerait lieu à une augmentation de capital de la Société UNICIL pour un montant de 3 415 644,80 euros et dégagerait une prime de fusion de 11 007 123,24 euros. 4. Le projet de fusion traité de fusion établi le 27 avril 2026 et signé le 20 mai 2026 a été déposé : - au greffe du Tribunal des Activités Economiques de Marseille, le 26 mai 2026 au nom de UNICIL, absorbante ; - au greffe du Tribunal de Commerce de Toulon, le 26 mai 2026 au nom de PROLETAZUR, absorbée.
