REIMS : 530 944 453 (ci-après désignée, la " Société Absorbée ") AVIS DE PROJET DE FUSION 1) Fusion par voie d'absorption par la société ALU PRESTIGE de la société S.B.L. 2) Évaluation de l'actif et du passif de la Société absorbée dont la transmission à la Société absorbante est prévue : Montant de l'actif : 101.355,84 € ; Montant du passif : 9.467,71 € ; Montant actif net apporté : 91.888,13 €. 3) Rapport d'échange des droits sociaux : Il sera échangé 1 part de la société S.B.L. pour 0,1157 part de la société ALU PRESTIGE. 4) Augmentation de capital : Compte tenu du rapport d'échange proposé, la société ALU PRESTIGE augmentera son capital de 9.253,14 €, pour le porter de 8.000 € à 17.253,14 €, par création de 578 parts sociales, de même catégorie, d'un montant nominal de 16 € chacune. 5) Réduction de capital : Suite à l'opération de fusion, la Société Absorbante détiendra 500 parts de ses propres parts sociales. En conséquence, la collectivité des associés de la Société Absorbante devra décider d'une réduction de capital social afin d'annuler les 500 parts auto détenues d'une valeur nominale de 16 €. Suite à cette réduction, le capital social de la Société Absorbante s'élèvera à la somme de 9.253,14 €, divisé en 578 parts sociales de 16 € de valeur nominale chacune. 6) Montant du mali de fusion : (5.271,87) €. 7) La fusion d'un point de vue comptable et fiscal aura un effet rétroactif au 1er janvier 2026. 8) Dépôt du projet de fusion : Le projet de fusion établi le 27 mai 2026, a été déposé : Le 28 mai 2026 au nom de la Société Absorbante au Greffe du Tribunal de Commerce de REIMS ; Le 28 mai 2026 au nom de la Société Absorbée au Greffe du Tribunal de Commerce de REIMS.
