Les apports seront transcrits à la valeur comptable dans les écritures de la société absorbante, retenue à la date du 1er janvier 2026 conformément aux articles 710-1 et 720-1 du Plan Comptable Général. La Société MECA PRECIS (788 502 052 RCS Perpignan), société mère de la société absorbante et de la société absorbée détenant la totalité des actions représentant la totalité du capital de la société absorbée et de la société absorbante, il ne sera pas procédé à l'échange des actions de la société absorbée contre des actions de la société absorbante. Toutes les opérations effectuées par la Société HYCAR SERVICES depuis le 1er Janvier 2026 jusqu'à la date de réalisation définitive de la fusion seront prises en charge par la Société USI SERVICES. La Société HYCAR SERVICES dissoute de plein droit, sans liquidation, au jour de la réalisation définitive de la fusion. Le projet de fusion a été déposé : - au nom de la USI SERVICES au Greffe du Tribunal de Commerce de Perpignan le 4 juin 2026. - au nom de la Société MECA PRECIS au Greffe du Tribunal de Commerce de Perpignan le 4 Juin 2026.
