(b) La rémunération de l’Apport a été déterminée à partir des valeurs respectives (i) de la Branche d’Activité Apportée d’une part, et de (ii) de 100% des titres composant le capital social de la Société Bénéficiaire d’autre part, conformément aux valeurs réelles : (i) de la Branche d’Activité Apportée, arrêtée à ce jour à un million quatre cent trente-neuf mille deux cent soixante-cinq euros et quatre-vingt-quatre centimes (1.439.265,84 euros) ; (ii) de la Société Bénéficiaire arrêtée à ce jour à treize millions quatre cent deux mille neuf cent soixante-trois euros et soixante-dix-huit centimes (13.402.963,78 euros), soit deux cent cinquante-trois euros et soixante et un centimes (253,61 euros) par action composant son capital social.
