HABITAT, Société Absorbante, SARL au capital de 10.000,00 euros dont le siège social est NUMÉRO 1 ZONE INDUSTRIELLE, 46130 BIARS-SUR-CERE, immatriculée au Registre du Commerce et des Sociétés de CAHORS sous le numéro 499 861 243, et la société MULTITEC, Société Absorbée, SARL au capital de 30.489,80 euros dont le siège social est fixé CROIX DE L’OYES, 46130 SAINT-MICHEL-LOUBEJOU, immatriculée au Registre du Commerce et des Sociétés de CAHORS sous le numéro 351 555 545, dans lequel il est convenu que la société MULTITEC ferait apport à la Société R.M.S. HABITAT de la totalité de son actif, soit 382.358,25 euros, à charge de la totalité de son passif, soit 60.576,14 euros soit une valeur nette des biens et droits apportés de 321.782,11 euros. Le capital de la Société Absorbante étant détenu à ce jour en totalité par la Société Absorbante, et cette dernière s’engageant à conserver la totalité des actions jusqu’à la date de réalisation définitive de la fusion, il n’est pas établi de rapport d’échange. Il n’y a donc pas lieu à émission d’actions nouvelles de la Société Absorbante ni à augmentation de capital de cette dernière. La fusion prendrait effet rétroactivement au 1er janvier 2026, d'un point de vue comptable et fiscal. Conformément à l'article L. 236-6 du Code de commerce, le projet de fusion a été déposé le 22 mai 2026 au greffe du tribunal de commerce de CAHORS pour la Société Absorbante et pour la Société Absorbée.
