Le boni de fusion s’élève à 403.526,08 €. La société ERE PLASTIQUE détenant la totalité des parts de la société SCI MG, il n’y a pas lieu à augmentation de capital. Compte tenu de la situation décrite, il n’a pas été établi de rapport d’échange. Sous réserve de toute décision contraire prise par le représentant légal de la société absorbante ou de la société absorbée d’ici à la survenance de la date dont il sera question ci-après, la Société Absorbée et la Société Absorbante conviennent que l'opération de fusion objet des présentes sera effective et deviendra définitive à la date du 31 juillet 2026 à minuit sous réserve que la publicité prescrite par l'article L. 236-6, alinéa 2 du Code de commerce ait été réalisée au moins 30 jours avant cette date. À défaut, elle sera réalisée le lendemain de l'expiration du délai d'opposition des créanciers non obligataires prévu à l'article R. 236-8 du Code de commerce. L’opposition formée par un créancier n’aura pas pour effet d’interdire la poursuite des opérations de fusion. Les projets de fusion ont été déposés au Greffe du Tribunal de Commerce de VIENNE pour les sociétés ERE PLASTIQUE le 25 juin 2026 et SCI MG le 23 juin 2026.
