En rémunération de l'Apport, la Société Bénéficiaire EPI1 procédera au bénéfice de la Société Apporteuse, IONISOS, à une augmentation de capital d'un montant de 37.224 euros, par la création de 3.722.405 actions nouvelles d'une valeur nominale de 0,01 euro chacune, chacune assortie d'une prime d'émission d'environ 0,30 euro, soit un prix total par action nouvelle d'environ 0,31 euro. 3) Prime d'apport : 1.127.908 euros 4) Effet rétroactif de l'Apport sur les plans fiscal et comptable au 1er janvier 2026 à 00h01 5) Le projet de traité d'apport partiel d'actifs a été établi en date du 30 juin 2026 et a été déposé au Greffe du Tribunal des Activités Economiques de Lyon au nom des Sociétés IONISOS et EPI1 le 30 juin 2026.
