AVIS DE PROJET DE FUSION SYMBIOSE 16 SARL au capital de 10 000 € Siège social : 24 bis rue du Docteur Guy Ragnaud – 16000 ANGOULEME 810 642 967 RCS ANGOULEME SYMBIOSE CONSEILS SARL au capital de 630 000 € Siège social : 2 Rue de la Loge – 85000 LA ROCHE SUR YON 451 716 898 RCS LA ROCHE SUR YON Aux termes d’un acte sous seing privé en date du 18 juin 2026, la société SYMBIOSE 16 et la société SYMBIOSE CONSEILS ont établi le projet de leur fusion par voie d’absorption de la société SYMBIOSE 16 par la société SYMBIOSE CONSEILS, à qui la société SYMBIOSE 16 apporterait la totalité de ses actifs évalués à 220 939 €, à charge de la totalité de son passif évalué à 203 854 €, représentant un actif net global apporté de 17 085 €. Le projet de traité de fusion a été établi sur la base des comptes annuels des sociétés SYMBIOSE 16 et SYMBIOSE CONSEILS arrêtés au 30 juin 2025, la fusion devant produire effet, aux plans comptable et fiscal, rétroactivement au 1er juillet 2026. En rémunération de cet apport, il est prévu l’émission par la société SYMBIOSE CONSEILS de 38 actions nouvelles de 14 € de valeur nominale chacune, à créer, qui seront attribuées à la société FALQ HOLDING, associée minoritaire de la société SYMBIOSE 16, selon la parité d’échange suivante : 100 parts de la société SYMBIOSE 16 contre 38 actions de la société SYMBIOSE CONSEILS (soit, à titre indicatif, 1 part de la société SYMBIOSE 16 contre 0,38 action de la société SYMBIOSE CONSEILS). Il est précisé que les 9 900 parts sociales de la société SYMBIOSE 16 détenues par la société SYMBIOSE CONSEILS seront, du seul fait de la réalisation de la fusion, annulées sans échange, aucune action de la société SYMBIOSE CONSEILS n’étant émise en rémunération de ces parts sociales, de sorte que le capital social de la société SYMBIOSE CONSEILS sera porté de 630 000 € à 630 532 €. La prime de fusion nette ressort à la somme de 260 441,14 €, qui sera inscrite au passif du bilan de la société SYMBIOSE CONSEILS à un compte « prime de fusion ». Conformément aux articles L. 236-3 et L. 236-6 du code de commerce, la réalisation définitive de la fusion entraînera la transmission universelle du patrimoine de la société SYMBIOSE 16 à la société SYMBIOSE CONSEILS et la dissolution de plein droit, sans liquidation, de la société SYMBIOSE 16, à la date de réalisation définitive de l’opération. Le projet de fusion a été déposé au greffe du tribunal de commerce d’ANGOULEME le 30 juin 2026 pour la société SYMBIOSE 16 et au greffe du tribunal de commerce de LA ROCHE SUR YON le 30 juin 2026 pour la société SYMBIOSE CONSEILS.
