Brest AVIS DE PARUTION AU BODACC D’UN PROJET DE SCISSION PARTIELLE Aux termes d’un acte sous seing privé conclu le 30 juin 2026 par VIA MEDIA, en qualité de société apporteuse, et DIGICAIRN, en qualité de société bénéficiaire, il a été établi en application de l’article L. 236-27 du Code de Commerce un projet de scission partielle aux termes duquel VIA MEDIA apporterait à DIGICAIRN, via un apport partiel d’actif soumis au régime des scissions, l’intégralité d’une branche d’activité et la société LE TELEGRAMME (423 754 241 R.C.S. Brest), associée unique de VIA MEDIA, se verrait directement attribuer l’action nouvelle de DIGICAIRN émise en rémunération de cet apport. Aux termes de ce projet, VIA MEDIA ferait apport à DIGICAIRN de sa branche complète et autonome d’activité de l’agence Digicairn, comprenant l’ensemble des actifs et passifs de VIA MEDIA constitutifs de son activité d’agence de communication digitale. Selon ce projet, l’actif apporté à DIGICAIRN s’élèverait à 471.793 € et le passif à 458.120 €. L’actif net apporté par VIA MEDIA à DIGICAIRN s’élèverait ainsi à 13.672,47 €. En rémunération de l’actif net apporté, il serait attribué à la société LE TELEGRAMME, associée unique de VIA MEDIA, la pleine propriété d’1 action ordinaire de DIGICAIRN, d’une valeur nominale d’1 €, créée par DIGICAIRN dont le capital serait, lors de la réalisation de l’apport, porté de 10.000 € à 10.001 €. La différence entre le montant de l’actif net apporté et le montant nominal de l’augmentation de capital constituera une prime d’apport de 13.671,47 € qui sera inscrite au bilan de DIGICAIRN. Les créanciers de VIA MEDIA et de DIGICAIRN, dont les créances sont antérieures au présent avis, pourront former opposition dans les conditions et les délais prévus par les articles L. 236-15 et R. 236-11 du Code de commerce. Le projet de scission partielle a été déposé au Greffe du Tribunal de Commerce de Brest au nom de la société VIA MEDIA et de la société DIGICAIRN le 30 juin 2026.
