La société SID EXPERTISE détenant la totalité des actions composant le capital de la société KIMSE, la fusion est soumise au régime des fusions simplifiées prévu à l'article L.236-11 du Code de commerce. L'opération prendra effet, sur les plans juridique, comptable et fiscal, dans les conditions prévues au projet de fusion, avec effet comptable et fiscal rétroactif au 1er avril 2026. En conséquence de cette fusion, la société KIMSE sera dissoute de plein droit sans liquidation à la date de réalisation définitive de l'opération. Il ne sera procédé à aucune augmentation du capital de la société absorbante ni à aucun échange de titres. Les créanciers des sociétés participantes dont les créances sont antérieures à la présente publication pourront former opposition à cette fusion dans les conditions prévues par les articles L.236-14 et R.236-8 du Code de commerce. Le projet de fusion a été signé le 1er juillet 2026 et sera déposé au greffe du Tribunal de commerce de Grenoble le 08/07/2026 Pour avis.
