Aux termes d'un acte sous signature privée en date du 02/07/2026 à BELLEVILLE SUR MEUSE, La société MS LOCATION et la société P.I.C LOCATION ont établi le projet de leur fusion par voie d'absorption de la société MS LOCATION par la société P.I.C LOCATION. A partir des comptes sociaux approuvés du 30/09/2025 : actif net apporté : 294 995.23 €, passif pris en charge : 316 216.48 €, l’actif total apporté s’élève à -21 221.25 €. La totalité des parts composant le capital social de la société absorbée étant détenue par l’absorbante depuis une date antérieure au dépôt du projet de fusion au Greffe du Tribunal de commerce, la fusion n’entraînera pas d’échange de parts de la société absorbante contre des parts de la société absorbée et la société absorbante ne procèdera, en conséquence, à aucune augmentation de capital et il ne sera dégagé aucune prime de fusion. Le mali de fusion s'élève à -21 221.25 euros. La fusion prendrait effet rétroactivement au 01/10/2025, d'un point de vue comptable et fiscal. Toutes les opérations actives et passives, effectuées par la société MS LOCATION depuis le 01/10/2025 jusqu'au jour de réalisation définitive de la fusion seraient prises en charge par la société P.I.C LOCATION. La société MS LOCATION sera dissoute de plein droit sans liquidation, à la date de réalisation définitive de la fusion. Conformément à l'article L. 236-6 du Code de commerce, le projet de fusion a été déposé pour être annexé au registre du commerce et des sociétés : au greffe du Tribunal judicaire R.C.S. de Strasbourg pour la société MS LOCATION le 10/07/2026 et au greffe du tribunal de commerce de BAR LE DUC pour la société P.I.C LOCATION le 20/07/2026. Les créanciers de la société absorbante, ainsi que ceux de la société absorbée dont les créances sont antérieures au présent avis, pourront faire opposition à la présente fusion dans les conditions prévues aux articles L. 236-15 et R. 236-11 du Code de commerce, soit trente jours à compter de la présente publication, devant le tribunal de commerce ou le tribunal des activités économiques compétent.
