Le boni ou le mali résultant de l’annulation des 10.000 parts sociales de la société OASIS PALAVASIENNE détenues par la société HOMAIR VACANCES sera déterminé dans les comptes individuels de la société HOMAIR VACANCES à la date de réalisation définitive de la fusion, conformément à la réglementation comptable applicable. La société HOMAIR VACANCES, absorbante, détenant la totalité des Titres de la Société OASIS PALAVASIENNE, Absorbée, il ne sera procédé à aucune augmentation de capital et il n'a pas été établi de rapport d'échange. Toutes les opérations effectuées par la Société OASIS PALAVASIENNE depuis le 1er Juillet 2026 jusqu'à la date de réalisation définitive de la fusion seront prises en charge par la société HOMAIR VACANCES. Le projet de fusion a été établi sous la condition suspensive suivante : détention en permanence par la Société Absorbante, depuis la date du présent Traité de Fusion et jusqu’à la Date de Réalisation, de la totalité des Titres représentant la totalité du capital de la Société Absorbée. La Société OASIS PALAVASIENNE sera dissoute de plein droit, sans liquidation, au jour de la réalisation définitive de la fusion.
