L'actif est évalué à 291 276,00 € et le passif est estimé à 17 553,00 € Soit un actif net de 273 723,00 € 5.Rapport d'échange des droits sociaux, augmentation de capital, réduction de capital : Il est procédé à l’échange de titres de la société MENUISERIE COUGOULIC contre les titres de la société F.D.C INVESTISSEMENT. Il est proposé que 2,6 parts de la société MENUISERIE COUGOULIC soit échangée contre 1 part de la société F.D.C INVESTISSEMENT. Compte tenu du rapport d’échange, la société MENUISERIE COUGOULIC augmente son capital de 20 800 €, qui sera porté de 8 000 € à 28 800 €. La prime de fusion s’élève à la somme de 252 923 €. L’actif transmis par la société F.D.C INVESTISSEMENT au bénéfice de la société MENUISERIE COUGOULIC comprenant l’intégralité des actions composant le capital de cette dernière, la totalité des 720 part est annulée. Le capital de la société MENUISERIE COUGOULIC post-opération est donc réduit de 7 200 € et ramené de 28 800 € à 21 600 €. La prime de fusion s’élève à 129 577 €. 6.Le projet de fusion a été établi en date du 27 mai 2026 et a été déposé au Greffe du Tribunal de Commerce de VANNES le 3 juillet 2026 au nom de la société MENUISERIE COUGOULIC ainsi qu’au nom de la société F.D.C INVESTISSEMENT. 7.Condition suspensive : La présente opération est soumise à la condition suspensive de l’approbation du projet de fusion par l’associé unique de chaque société le 30 septembre 2026 au plus tard.
