La société SOCIETE DES PRES ferait apport à la société FORETS ET SCIAGES COMTOIS, de la totalité de son actif évalué à 197 607 Euros contre la prise en charge de l'intégralité de son passif s'élevant à 52 967 Euros soit un apport net de 144 640 Euros. La société FORESTIERE ET DEVELOPPEMENT (761 200 427 RCS BOURG EN BRESSE) est propriétaire de la totalité des actions composant le capital de la société SOCIETE DES PRES et de 95% du capital de la société FORETS ET SCIAGES COMTOIS. La société SOCIETE DES PRES ne comptant aucun associé minoritaire, la condition relative à l’offre de rachat des droits sociaux des associés minoritaires de la société absorbée prévue à l’article L.236-12 du Code de commerce est sans objet. La fusion étant placée sous les dispositions de l’article L 236-12 du Code de commerce il ne sera procédé à aucun échange d’actions de la société SOCIETE DES PRES contre des actions de la société FORETS ET SCIAGES COMTOIS en sorte que cette fusion absorption sera réalisée sans augmentation de capital. Les créanciers des sociétés participant à cette opération, dont la créance est antérieure à la date de parution du présent avis au BODACC, peuvent former opposition à cette fusion dans les conditions et délais prévus par les articles L.236-15 et R.236-11 du Code de commerce.
