Saint-brieuc Par acte sous seing privé en date du 30 juillet 2026 à PLELO, la société BREIZH R'GO(ci-après la « Société Bénéficiaire ») et la société BREIZH MEDICAL SERVICES (ci-après la « Société Apporteuse »), susvisées, ont établi un projet de traité d'apport partiel d'actif conformément aux dispositions de l'article L. 236-22 du Code de commerce. Aux termes de ce projet, la société BREIZH MEDICAL SERVICES ferait apport à la Société Bénéficiaire de sa branche complète et autonome d’activité de : négoce, importation, location de tous biens et matériels paramédicaux et médicaux destinés aux particuliers (spécialisation handicap), soumis et non soumis à entente préalable et remboursement de la part des organismes sociaux; dont l'actif est évalué à 582 348€ et le passif à 382 348€, soit un apport net de 200 000€. Le passif pris en charge par la Société Bénéficiaire ne sera pas garanti solidairement par la Société Apporteuse. En rémunération de cet apport, la Société Bénéficiaire augmentera son capital de 200 000€ par l'émission de 200 000 actions nouvelles de 1€ chacune, entièrement libérées, qui seront attribuées directement à l'associée unique de la Société Apporteuse. Toutes les opérations actives et passives de la branche complète et autonome d'activité apportée seront prises en charge par la Société Bénéficiaire, et réputées faites pour son compte exclusif, depuis le 1er juillet 2026. Ledit projet a été établi sous la condition suspensive de la réalisation définitive de l'augmentation de capital consécutive de cette dernière. Le projet a été déposé au greffe du Tribunal de commerce de QUIMPER.
