Fusion par voie d’absorption de la société THE FRENCH PATISSIER par la société TFP FORMATION. 2. Éléments d’actif et de passif La société THE FRENCH PATISSIER fait apport à la société TFP FORMATION : de la totalité de son actif évalué à : 208 660 € à charge de la totalité de son passif évalué à : 229 165 € Actif net apporté : – 20 505 € 3. Modalités de la fusion Les sociétés étant détenues à 100 % par la même société mère (TFP INTERNATIONAL GROUP), - il ne sera procédé à aucun échange de titres, conformément à l’article L.236-3 II du Code de commerce. - Aucune augmentation de capital de la société absorbante - Aucune prime de fusion 4. Date d’effet Effet comptable et fiscal rétroactif : 1er octobre 2025 5. Dépôt du projet Le projet de fusion a été déposé au Greffe du Tribunal de commerce de Lyon le 7 avril 2026 au nom des deux sociétés. 6. Droit d’opposition des créanciers Les créanciers des sociétés participantes à la fusion dont les créances sont antérieures au présent avis pourront former opposition à cette fusion dans les conditions prévues aux articles L.236-15 et R.236-8 du Code de commerce, soit dans un délai de 30 jours à compter de la présente publication, devant le Tribunal de commerce de Lyon.
