AVIS DE PROJET DE FUSION Par acte sous seing privé du 29 mai 2026 la SAS LA PONETIE au capital de 212 000 Euros dont le siège est à LEGUEVIN (31490), Avenue de Lengel ZAC de Lengel, immatriculée au Registre du Commerce et des sociétés de TOULOUSE sous le numéro 318 963 626 et la SCI DU COL DE MONTMIRAT, société civile immobilière au capital de 15 000 Euros, dont le siège social est à LYON (69002), 43 Rue de la Bourse, immatriculée au Registre du Commerce et des sociétés de LYON sous le numéro 422 023 036, ont établi le projet de leur fusion par voie d'absorption de la SCI DU COL DE MONTMIRAT par la SAS LA PONETIE à qui la SCI DU COL DE MONTMIRAT ferait apport de la totalité de son actif, évalué à 1 737 888 € à charge de prendre la totalité du passif évalué à 1 366 928 € soit un apport net de 370960 €. L'opération prendra effet rétroactivement au début de l'exercice, soit le 1er janvier 2026 les opérations de la SCI DU COL DE MONTMIRAT depuis cette date, devant être considérées comme accomplies par la SAS LA PONETIE. La SAS LA PONETIE détenant à ce jour la totalité des actions de la SCI DU COL DE MONTMIRAT et s'engageant à les conserver jusqu'à la date de réalisation définitive de la fusion, il ne pourra être procédé à l'échange des actions de la SCI DU COL DE MONTMIRAT contre des actions de la SAS LA PONETIE, ni à augmentation du capital de la SAS LA PONETIE. En conséquence, les parties sont convenues qu'il n'y a pas lieu, de ce fait, de déterminer un rapport d'échange ni prime de fusion. Le projet de fusion a fait l'objet pour la SAS LA PONETIE d'un dépôt le 1er juin 2026 au Greffe du Tribunal de Commerce de TOULOUSE et pour la SCI DU COL DE MONTMIRAT d'un dépôt le 1er juin 2026 au Greffe du Tribunal de Commerce de LYON.
