Les comptes de la société « MENUISERIE CHARBONNIER-MOUNIER » et de la société « FINOT ET JACQUEMET », utilisés pour établir les conditions de l’opération sont ceux résultant d’un bilan comptable arrêté au 30 septembre 2025. Les apports de la société absorbée, évalués à la valeur nette comptable sont les suivants : actif : 343 388,76 € passif : 397 880,76 € actif net : - 54 492,00 € La totalité des droits sociaux composant le capital de des sociétés absorbée et absorbante étant détenus par la même société mère, la société « HEOLIS » il ne sera procédé à aucune augmentation de capital et aucun rapport d’échange n’a été déterminé. La date du projet commun de fusion : 30 mars 2026 Conformément à l’article L. 236-6 du Code de commerce, le projet de fusion a été déposé le 02 Juin 2026, au greffe du Tribunal de commerce de GRENOBLE au nom des deux sociétés. La fusion prendra juridiquement effet le 30 juin 2026 ou à défaut, le lendemain de l’expiration du délai d’opposition des créanciers si celui-ci est postérieur. Toutefois, la fusion prendra effet fiscalement et comptablement, de façon rétroactive au 1er octobre 2025. Oppositions : article L. 236-115 et R236-11 du Code de commerce.
