AVIS DE PROJET DE FUSION SIMPLIFIEE Aux termes d'un acte sous seing privé en date du 4 août 2026, la Société OLANO PROVENCE (société absorbante) et la société OLANO MEDITERRANEE (société absorbée), sus désignées, ont établi un projet de fusion simplifiée par voie d'absorption (articles L 236-1 et suivants du Code de Commerce) aux termes duquel la société OLANO MEDITERRANEE transmettrait, à titre de fusion, à la société OLANO PROVENCE l'universalité de son patrimoine actif et passif. A partir du bilan au 31 décembre 2025 de la société absorbée, l’évaluation de l'actif et du passif dont la transmission à la société OLANO PROVENCE est prévue, s'élèvent à : Actif3 399 042,15 € Provisions pour risque122 000,00 € Passif3 113 374,11 € -------------------- Faisant ressortir un apport positif de :163 668,04 € Le capital de la Société Absorbante et de la Société Absorbée étant intégralement détenu à ce jour par la société OLANO SERVICES, conformément à l’article L 236-3 du Code de commerce, il ne sera procédé à aucun échange de titres et la fusion n'entraînera aucune augmentation du capital de la société absorbante. En conséquence, il n'est établi aucun rapport d'échange et aucune prime de fusion ne sera constatée. L'opération prendra effet rétroactivement au 1er janvier 2026 tant sur le plan comptable que fiscal, les opérations de la société OLANO MEDITERRANEE depuis cette date devant être considérées comme accomplies par la société OLANO PROVENCE. Le projet de fusion a été établi sous la condition suspensive de son approbation par l'Assemblée Générale des associés de la société OLANO PROVENCE. La société OLANO MEDITERRANEE sera dissoute de plein droit, sans liquidation, au jour de la réalisation définitive de la fusion. Le projet de fusion a fait l'objet, pour la société OLANO PROVENCE (société absorbante) et la société OLANO MEDITERRANEE (société absorbée), d’un dépôt au Greffe du Tribunal de Commerce de BAYONNE dont elles dépendent toutes deux, en date 4 août 2026. Les créanciers des sociétés participant à l’opération de fusion, dont la créance est antérieure au présent avis au BODACC, peuvent former opposition à cette fusion dans les conditions prévues par les articles L 236-15 et R 236-8 du Code de commerce.
