La société BOIS CARRE ferait apport à la société SYSCOBOIS, de la totalité de son actif évalué à 1 682 437,05 Euros contre la prise en charge de l'intégralité de son passif s'élevant à 1 270 745,82 Euros soit un apport net de 411 691,23 Euros. La société FORESTIERE ET DEVELOPPEMENT (761 200 427 RCS BOURG EN BRESSE) détient 99,84% de manière directe du capital et des droits de votes de la société BOIS CARRE et que les 0,16% restants du capital et des droits de vote sont détenus par la société LES FILS DE CYRILLE DUCRET, filiale détenue à 99,97% par la société FORESTIERE ET DEVELOPPEMENT ; La société FORESTIERE ET DEVELOPPEMENT détient 95% du capital et des droits de votes de la société SYSCOBOIS, La société BOIS CARRE comptant un associé minoritaire, la société LES FILS DE CYRILLE DUCRET, la condition relative à l’offre de rachat des droits sociaux de cet associé minoritaire de la société absorbée prévue à l’article L.236-12 du Code de commerce sera levée avant la réalisation de la fusion. La fusion étant placée sous les dispositions de l’article L 236-12 du code de Commerce il ne sera procédé à aucun échange d’actions de société BOIS CARRE contre des parts sociales de SYSCOBOIS en sorte que cette fusion absorption sera réalisée sans augmentation de capital. Les créanciers des sociétés participant à cette opération, dont la créance est antérieure à la date de parution du présent avis au BODACC, peuvent former opposition à cette fusion dans les conditions et délais prévus par les articles L.236-15 et R.236-11 du Code de commerce.
